3. Quotes and Proposals

Quotes and proposals are provided based on the information available to us at the time.

Unless otherwise stated:

• A quotation is valid for the period specified in the quotation.
• A quotation does not constitute acceptance of an order.
• Prices may change if the requirements or scope of a project changes.
• Any third-party costs may be charged separately.
• Additional work outside the agreed scope may incur additional charges.

A project will normally commence after the customer has accepted the quotation and completed any required payment or deposit.

4. Orders and Contracts

A service agreement may be formed when the customer:

• Accepts a quotation or proposal;
• Places an order;
• Makes a payment;
• Approves a statement of work; or
• Provides written confirmation to proceed.

Depending on the project, additional written terms or a separate service agreement may apply.

If there is a conflict between these Terms & Conditions and a specific written agreement, the specific written agreement will normally take precedence for that project.

5. Payments

Payment terms will be communicated to the customer before work begins.

Depending on the service, we may require:

• Full payment in advance;
• A deposit;
• Milestone payments; or
• Payment upon completion or delivery.

Invoices must be paid by the stated due date.

We reserve the right to pause or suspend work where an invoice remains unpaid.

The customer is responsible for providing accurate billing information and ensuring that payments are made using an accepted payment method.

6. Project Scope and Changes

Services will be delivered according to the agreed project scope.

Requests that are outside the original scope may be treated as additional work and may require:

• Additional fees;
• Additional development time;
• A revised quotation; or
• A new statement of work.

Changes requested after work has commenced may affect the original delivery schedule.

7. Customer Responsibilities

Customers are responsible for providing information, content, access credentials, approvals, materials, and other resources reasonably required to complete a project.

The customer confirms that any materials supplied to Global Focus Tech, including text, images, logos, trademarks, software, data, and other content, may lawfully be used for the agreed purpose.

Delays caused by missing information, delayed approvals, unavailable access, or other customer-related issues may affect project deadlines.

8. Delivery Times

We will make reasonable efforts to meet agreed delivery dates.

Estimated delivery times are dependent on:

• Project complexity;
• Customer feedback and approvals;
• Availability of required materials;
• Third-party services;
• Technical requirements; and
• Changes to the project scope.

Unless expressly agreed otherwise in writing, delivery dates are estimates rather than guaranteed deadlines.

9. Website and Software Development

For website and software projects, the customer is responsible for reviewing and approving the final work.

Unless otherwise agreed, hosting, domain registration, premium themes, plugins, APIs, licences, third-party software, stock images, and other third-party services may be charged separately.

Third-party platforms and services are subject to their own terms, availability, limitations, and policies.

We do not guarantee that third-party services will remain available, compatible, or unchanged.

10. Digital Marketing, SEO and Guest Posting

Where we provide digital marketing, SEO, content marketing, or guest posting services, results may depend on factors outside our control.

We do not guarantee:

• A specific search engine ranking;
• A specific amount of website traffic;
• A specific number of leads or sales;
• Permanent placement of third-party content;
• Continued availability of third-party websites; or
• Specific results from search engines, publishers, advertising platforms, or other third parties.

Where guest posting or publisher placement services are provided, publication remains subject to the relevant publisher’s editorial requirements and availability.

11. Content and Third-Party Materials

Where Global Focus Tech creates content or provides content-related services, the customer remains responsible for ensuring that information supplied by the customer is accurate and lawful.

We are not responsible for claims, statements, materials, or intellectual property supplied by the customer.

Third-party materials may be subject to separate licences or usage restrictions.

12. Intellectual Property

Unless otherwise agreed in writing, Global Focus Tech retains ownership of its pre-existing materials, frameworks, systems, tools, templates, methodologies, processes, source code libraries, and other intellectual property used to provide the services.

Upon receipt of full payment, the customer will receive the rights expressly agreed for the final deliverables.

Third-party software, plugins, themes, APIs, fonts, images, and other materials remain subject to their respective licences.

Nothing in these Terms automatically transfers ownership of Global Focus Tech’s underlying tools, systems, know-how, or reusable components.

13. Customer Content

The customer retains ownership of content and materials supplied to us, subject to any third-party rights.

The customer grants Global Focus Tech permission to use such materials solely to the extent reasonably necessary to provide the agreed services.

14. Confidentiality

Both parties agree to treat confidential business, technical, commercial, and other non-public information received from the other party as confidential.

Confidential information will not be disclosed to third parties except where:

• Disclosure is necessary to provide the services;
• Disclosure is required by law;
• The information is already publicly available; or
• The relevant party has provided permission.

15. Data Protection

We may process personal information in connection with enquiries, contracts, payments, customer support, and delivery of services.

Our processing of personal data is governed by our Privacy Policy.

Where Global Focus Tech processes personal data on behalf of a customer as a processor, the parties may enter into appropriate data-processing terms where required.

Customers should not provide personal data to us unless they have an appropriate legal basis and authority to do so.

16. Third-Party Services

Our services may depend on third-party providers, including hosting companies, domain registrars, payment providers, advertising platforms, search engines, software providers, APIs, publishers, and other technology providers.

We are not responsible for outages, changes, suspension, termination, restrictions, or failures caused by third-party providers.

17. Warranties

We will provide our services with reasonable care and skill.

Unless expressly stated in writing, we do not guarantee that:

• A service will meet every particular business objective;
• A website or software system will be completely free from defects;
• Search engine rankings will reach a particular position;
• Third-party platforms will remain available;
• A particular financial or commercial result will be achieved; or
• Services will be uninterrupted.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Subject to the above, Global Focus Tech will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.

To the extent permitted by law, our total liability arising from a specific service will be limited to the amount paid by the customer for that service during the relevant contractual period.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

19. Suspension and Termination

We may suspend or terminate services where:

• Payments are overdue;
• The customer materially breaches these Terms;
• The customer provides unlawful or fraudulent instructions;
• Continuing the service would create a legal or security risk; or
• The customer engages in abusive, threatening, or inappropriate behaviour.

Where appropriate, we will provide reasonable notice before terminating an ongoing service.

The customer remains responsible for fees properly incurred before termination.

20. Refunds and Cancellations

Refund and cancellation rights depend on the nature of the service and the terms agreed for the specific project.

Where work has already been completed or substantially performed, fees may not be refundable to the extent permitted by law.

Any specific refund policy applicable to a service will be communicated to the customer before purchase.

Nothing in these Terms affects statutory rights that cannot legally be excluded.

21. Website Use

You must not use our website:

• For unlawful purposes;
• To distribute malicious software;
• To attempt unauthorised access;
• To interfere with website security;
• To copy or reproduce website materials without permission; or
